These Terms of Service (“Terms”) constitute a legally binding agreement between you and Proxenio Technologies Ltd (“Proxenio”, “we”, “us”, “our”), a company incorporated in Cyprus, governing your access to and use of the Proxenio platform at proxenio.ai (the “Platform”).
By creating an account, accessing the Platform, or using any of our services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the Platform.
You must be at least 18 years old to use the Platform. By creating an account, you represent that you meet this age requirement.
The Platform is intended exclusively for business, professional, and commercial use. It is not a consumer marketplace. You represent that you are using the Platform for legitimate professional purposes.
You must provide accurate, current, and complete information when creating your account. You are responsible for:
Each User may maintain only one account. Creating multiple accounts to manipulate Trust Scores or circumvent restrictions is prohibited.
Proxenio is a matching and tracking platform, not a professional services provider. We do not:
The Platform is currently in early-stage development and may be in beta or alpha form. By using the Platform, you acknowledge and accept that:
The Platform is currently provided free of charge. Proxenio reserves the right to introduce paid features, subscription tiers, or transaction fees in the future. Any such changes will be communicated in advance.
The Trust Score reflects factors such as: intent declaration quality, industry relevance, profile completeness, trust tier status, and verified deal outcomes.
The methodology used to calculate Trust Scores may evolve at any time to maintain fairness, accuracy, and platform integrity. Changes will be communicated via the Platform.
Any attempt to artificially inflate Trust Scores through false confirmations, multiple accounts, or coordinated activity is strictly prohibited and may result in immediate account termination.
Users may log Deal outcomes within the Platform. Outcomes require counterparty confirmation to be verified. Available outcome types: Meeting Held, Deal Progressing, Deal Closed, No Outcome.
You must log outcomes accurately and in good faith. Logging false outcomes or refusing to confirm legitimate outcomes may result in account suspension or termination.
When your counterparty logs an outcome, you will be notified to confirm or dispute. Unconfirmed outcomes do not affect Trust Scores.
Proxenio does not arbitrate disputes over outcome accuracy. Users are responsible for resolving disagreements directly.
You may generate API keys allowing AI Agents to act on your behalf within the Platform. By doing so, you grant the Agent permission to access data and perform actions within the scope of the key.

You may revoke API keys at any time through your account settings. Proxenio reserves the right to suspend or revoke keys that violate these Terms.
You agree to conduct yourself professionally and in accordance with applicable laws. You must not:
You may not access or use the Platform if you are located in, or a national or resident of, any country or territory subject to sanctions imposed by the European Union, Republic of Cyprus, or applicable international bodies, or if your use would violate any applicable export control or trade restriction laws.
You retain ownership of content you submit to the Platform (“User Content”), including profile information, intent declarations, and Deal notes.
By submitting User Content, you grant Proxenio a worldwide, non-exclusive, royalty-free license to use, store, and display your content as necessary to provide Platform services.
You represent that your User Content does not infringe third-party intellectual property rights, does not violate privacy or confidentiality obligations, and complies with applicable laws and these Terms.
Proxenio owns all intellectual property rights in the Platform, including software, algorithms, matching logic, Trust Score calculation methodology, platform design, branding, trademarks, APIs, and technical documentation.
Proxenio is a matching platform, not a guarantee of business outcomes.
Any business relationship formed through the Platform is between Users. Proxenio is not a party to, and has no liability for, any agreement or transaction between Users.
Professional Responsibility: Users are solely responsible for conducting independent due diligence, verifying counterparty credentials, assessing business risks, and making informed decisions before entering into any business relationship or commercial transaction.
User-to-User Release: Users acknowledge that all business relationships, agreements, and transactions occur solely between the participating users. To the maximum extent permitted by law, users release Proxenio Technologies Ltd from any claims, damages, or disputes arising from interactions, negotiations, agreements, or transactions with other users on or through the Platform.
Proxenio operates as a neutral platform facilitating connections between professionals. We do not endorse, recommend, or vouch for any User, service, or Deal. We do not investigate or verify User claims, credentials, or representations. We do not act as broker, agent, or intermediary in any business relationship.
Trust Scores reflect verified outcomes but do not constitute endorsements. Users must conduct their own due diligence.
No Fiduciary Relationship: Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between Proxenio and any User, or between Users.
No Background Checks: Proxenio does not conduct background checks, financial verification, credit checks, or credential validation of Users unless explicitly stated. Trust Scores are based solely on confirmed outcomes within the Platform.
Proxenio reserves the right to modify, update, or discontinue any aspect of the Platform, including matching algorithms, Trust Score calculation, available features, user interface, and API endpoints.
We will make reasonable efforts to communicate material changes, but we are not liable for any disruption, inconvenience, or loss resulting from Platform modifications.
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.
To the fullest extent permitted by law, Proxenio disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Proxenio shall not be liable for: indirect, incidental, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; failed business relationships, deals, or introductions; actions or conduct of other users; unauthorized access resulting from your failure to secure credentials or API keys; platform downtime or technical errors; losses arising from business transactions between users.
In no event shall Proxenio's total liability exceed the amount you paid to Proxenio in the 12 months preceding the claim (or EUR 100 if no payments were made).
You agree to indemnify, defend, and hold harmless Proxenio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your User Content; (d) your business relationships with other Users; (e) actions taken by AI Agents using your API keys; or (f) your violation of any law or third-party rights.
You may terminate your account at any time by contacting legal@proxenio.ai. Account data will be deleted in accordance with our Privacy Policy.
We may suspend or terminate your account immediately if you:
Upon termination, your access to the Platform will cease. Deal outcome data involving other Users may be preserved in anonymized form as described in our Privacy Policy. Sections 10, 11, 12, 13, 14, 15, 18, 19, and 20 survive termination.
Proxenio reserves the right to remove, restrict, or limit the visibility of any User Content, profile, or platform activity at its sole discretion and without obligation to provide explanation.
These Terms are governed by the laws of the Republic of Cyprus and the European Union, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Cyprus.
Before initiating legal proceedings, parties agree to attempt good-faith resolution by contacting legal@proxenio.ai. If informal resolution fails, parties may agree to pursue mediation before proceeding to court.
We may update these Terms from time to time. Material changes will be communicated via email notification and prominent notice on the Platform. Continued use after changes constitutes acceptance. If you do not agree with changes, you must stop using the Platform and may request account termination.
Data Protection and GDPR: Data processing is governed by our Privacy Policy. Users retain all rights under the General Data Protection Regulation (GDPR), including rights of access, rectification, erasure, restriction, portability, and the right to lodge a complaint with the relevant supervisory authority.
Reporting Violations: Users may report violations of these Terms via platform reporting tools or by contacting legal@proxenio.ai.
